These Terms of Service ("Terms") govern your access to and use of valorous-agency.vercel.app (the "Site"), operated by Valorous Web LLC ("Valorous," "we," "us," or "our").
By accessing or using the Site — including our AI assistant and contact tools — you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.
1. Scope of These Terms
These Terms cover your use of this website and its features. They are not the contract for any paid work. Any web development, maintenance, website review, or other service we provide is governed by a separate written proposal, quote, or agreement between you and Valorous. If anything in these Terms conflicts with a signed project agreement, that agreement controls for the work it covers.
2. Who May Use the Site
You may use the Site only if you can form a legally binding contract with us and are not prohibited from doing so under applicable law. If you use the Site on behalf of a business or other organization, you represent that you are authorized to act on its behalf.
3. Services, Pricing, and Quotes
Information on the Site about our services, timelines, and pricing — including any "starting at" figures — is general guidance and may change at any time. It is not a binding offer. A firm price and scope are provided only in a written quote or agreement after we understand your specific needs.
We aim to be honest about scope. We focus on custom web development, maintenance and support, and website or digital-presence reviews, and we will tell you plainly when a request falls outside what we do.
4. Portfolio and Example Work
Projects, designs, and brands shown on the Site may include demonstration builds and illustrative concepts created to show our capabilities, and may not represent live or paid client engagements. Any names, logos, or trademarks shown remain the property of their respective owners, and their appearance does not imply endorsement unless we state otherwise.
5. The AI Assistant
The Site provides an AI chat assistant ("Valorous AI") for convenience. It can produce inaccurate, incomplete, or out-of-date information and may not reflect our current services or pricing. Its responses are general information only — not professional, legal, or financial advice, and not a binding quote, offer, or commitment by Valorous.
Please do not submit confidential or sensitive personal information through the assistant. You are responsible for how you use its responses, and your use of the assistant is also subject to our Privacy Policy.
6. Acceptable Use
When using the Site, you agree not to:
- Use the Site for any unlawful, fraudulent, or harmful purpose;
- Attempt to gain unauthorized access to the Site, its servers, or related systems;
- Interfere with or disrupt the Site or the AI assistant — including through automated scraping, excessive requests, denial-of-service attempts, or efforts to manipulate or misuse the assistant;
- Upload or transmit malicious code or any harmful material;
- Infringe the rights of others, or harass, abuse, or harm anyone;
- Misrepresent your identity or your affiliation with any person or organization.
7. Intellectual Property
The Site and its content — including text, design, graphics, logos, and code — are owned by Valorous Web LLC or its licensors and are protected by intellectual-property laws. You may view and use the Site for its intended purpose, but you may not copy, reproduce, modify, or redistribute its content without our permission, except as allowed by law.
Work we create for clients is handled differently: for paid projects, you own the deliverables — code, design files, content, and project assets — once the project is paid in full, as set out in your project agreement. The specific terms of ownership for any engagement are governed by that agreement.
8. Third-Party Services and Links
The Site depends on and links to third-party services, such as our hosting provider, scheduling tool, and AI provider. Your use of those services may be subject to their own terms and privacy policies. We are not responsible for third-party services or websites, or for their content, and a link does not mean we endorse them.
9. Disclaimer of Warranties
The Site is provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, or that any information on it — including AI-assistant output — is accurate, complete, or current.
10. Limitation of Liability
To the fullest extent permitted by law, Valorous Web LLC and its founder will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, goodwill, or business, arising out of or related to your use of (or inability to use) the Site or the AI assistant. To the fullest extent permitted by law, our total liability for any claim relating to the Site will not exceed one hundred U.S. dollars ($100).
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law. Liability relating to any paid services is governed by the applicable project agreement.
11. Indemnification
You agree to indemnify and hold harmless Valorous Web LLC and its founder from any claims, damages, losses, and reasonable expenses (including legal fees) arising out of your misuse of the Site, your violation of these Terms, or your violation of any law or the rights of a third party.
12. Changes to the Site and These Terms
We may change, suspend, or discontinue the Site or any feature (including the AI assistant) at any time. We may also update these Terms; when we do, we will revise the "Last updated" date at the top of this page. Your continued use of the Site after a change means you accept the updated Terms.
13. Governing Law
These Terms are governed by the laws of the State of California and applicable United States federal law, without regard to conflict-of-law rules. Any dispute relating to the Site or these Terms will be handled in the state or federal courts located in California, except where applicable law gives you the right to bring a claim elsewhere.
14. General
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of it. These Terms, together with our Privacy Policy and any applicable project agreement, make up the entire agreement between you and Valorous regarding your use of the Site.
